This agreement governs the done-for-you website packages — Starter, Growth, and the Care Plan — provided by Media Yard LLC, PO Box 73, Pennsauken, NJ 08110 (“we”, “us”) to you (“you”, the client). It becomes binding when you confirm a package by email and we begin work.
This is a separate contract from the ReviewLoft Terms of Service, which govern the software subscription. If your package includes a ReviewLoft subscription, that part is governed by those Terms. Where the two conflict about website work, this agreement controls.
Your package is what the packages page listed on the day you confirmed it, plus anything we put in writing in the confirming email. That written scope is the whole scope. Work outside it — extra pages, a redesign after approval, e-commerce, custom development, copywriting beyond editing what you send, logo or brand design, ongoing SEO campaigns — is not included and is quoted separately before it starts. We will never do unrequested extra work and bill you for it.
Delivery times are quoted from the day we have everything we need, not from the day you pay. That means your text or approval of ours, images or permission to use stock, hours, services, contact details, domain access, and Google Business Profile access if the package includes it. Delays in getting those move the delivery date by the same amount.
Timelines on the packages page (“usually live within 48 hours”, “usually live in about a week”) are good-faith estimates on that basis, not guarantees, and are not a condition of the agreement.
If we have asked you twice for materials and 60 days pass with no response, we may close the project as delivered-to-the-extent-built and stop holding the slot. You keep whatever is finished, under section 5. We will always tell you before we do this.
Your domain is yours, always, without exception. Wherever possible we ask you to register it in your own name on your own account and simply give us access. If we register or hold a domain on your behalf, we do so as your agent: it is registered for you, you are the beneficial owner, and we will transfer it or its authorization code to you or anyone you nominate within 5 business days of your written request. We will not hold a domain against an unpaid invoice, a dispute, or a cancellation. Registry transfer rules (such as the 60-day lock after a new registration) are outside our control and are the only thing that can delay a transfer.
If your package includes Google Business Profile setup or cleanup, you add us as a manager on your profile. The profile stays yours and you remain its owner; you can remove our access at any time, and we will remove ourselves when the work is done if you ask. We will not transfer ownership away from you, and we will never write, buy, solicit, or remove reviews on your behalf — doing so would breach Google’s policies and, in the US, FTC rules on consumer reviews (16 CFR Part 465). Google can suspend or change a profile for reasons entirely outside our control.
The Care Plan covers hosting, domain management, SSL, backups, uptime monitoring, up to two content updates per month, and a ReviewLoft subscription. Unused content updates do not roll over.
There is no contract term and you can cancel at any time, effective at the end of the period you have paid for. Cancelling does not cost you your site. When the plan ends we will, on request:
After that 30-day window we stop hosting and the site goes offline — not because we are holding it, but because nobody is paying for the server. Your ReviewLoft subscription, rating pages, and printed QR codes are unaffected and keep working; if you want to keep ReviewLoft after the Care Plan ends, it continues at its normal price under the Terms of Service.
Backups are taken for the purpose of restoring your site. They are not an archival service, and we do not guarantee recovery of content you deleted long ago.
For 30 days after your site goes live we will fix, at no charge, anything we built that does not work as described — broken links, a form that does not send, a layout that breaks on common browsers or phones. That does not cover changes you or a third party make, new content, new browser or platform behaviour, or third-party services changing their own products.
Beyond that, the work is provided “as is”. We do not guarantee search rankings, traffic, leads, sales, or that any AI assistant or search engine will feature you. Anyone who does guarantee those things is guessing. We build the foundations well and honestly; the rest is outside anyone’s control.
You confirm you have the right to use everything you send us — text, photos, logos, menus, testimonials — and that it is accurate and lawful. You will indemnify us against third-party claims arising from content you supplied or instructions you gave us. We may decline to publish anything we believe is unlawful, infringing, or deceptive, and if we do we will tell you why.
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. Our total liability for any claim arising from a package is limited to the fees you paid us for that package in the 12 months before the claim arose. Nothing here limits liability that cannot lawfully be limited.
Personal data you give us for a website project is handled under our Privacy Policy. If your site collects personal data from your own visitors — a contact form, for example — you are the controller of it and responsible for your own privacy notice. Contact form submissions go to your email; we do not store or read them.
